Terms of Service

1. Acceptance of Terms

By accessing or using Valcoustic ("the Service"), operated by Valcoustic LLC ("Company", "we", "us"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Valcoustic is a web-based audio system design platform that generates equipment recommendations, wiring diagrams, and system validation for commercial and residential audio installations. The Service uses physics-based calculations and manufacturer data to produce design recommendations.

3. Accounts and Access

  • •You may need to create an account to access certain features
  • •You are responsible for maintaining the confidentiality of your login credentials
  • •You must be at least 18 years old to use the Service
  • •One person per account; accounts cannot be shared

4. Subscription and Billing

  • •Free tier: No payment required, subject to usage limits
  • •Paid tiers: Billed monthly or annually as selected at signup
  • •Prices may change with 30 days notice
  • •You may cancel at any time; cancellation takes effect at end of current billing period
  • •No refunds for partial billing periods
  • •We use Stripe for payment processing; your payment information is handled by Stripe under their terms

5. Design Output Disclaimer

THE DESIGNS, RECOMMENDATIONS, AND CALCULATIONS PROVIDED BY VALCOUSTIC ARE FOR INFORMATIONAL AND PLANNING PURPOSES ONLY. THEY DO NOT CONSTITUTE PROFESSIONAL ENGINEERING ADVICE, CERTIFICATION, OR STAMPED DRAWINGS.

  • •All audio system designs should be reviewed by a qualified AV professional before installation
  • •Valcoustic does not guarantee that designs will meet local building codes, fire codes, or accessibility requirements
  • •Acoustic performance may vary based on room materials, furnishings, HVAC noise, and other environmental factors not captured by the platform
  • •Equipment availability and pricing are subject to change by manufacturers and distributors
  • •Valcoustic is not responsible for installation errors, equipment failures, or performance shortfalls resulting from the use of our designs
  • •Users are responsible for verifying all specifications against current manufacturer datasheets before purchasing

6. Intellectual Property

  • •The Valcoustic platform, algorithms, and interface are proprietary
  • •Designs you generate are yours to use for your projects
  • •You may not resell, redistribute, or white-label the Valcoustic engine or its outputs without a Studio or Enterprise license
  • •Our equipment database contains manufacturer data used under fair use for system design purposes

7. Acceptable Use

You agree not to:

  • •Use the Service for any illegal purpose
  • •Attempt to reverse-engineer, decompile, or extract the design algorithms
  • •Use automated tools to scrape designs or equipment data
  • •Resell access to the Service
  • •Misrepresent Valcoustic designs as stamped engineering documents

8. Data and Privacy

  • •See our Privacy Policy for details on how we collect and use data
  • •We store your design history to improve the Service
  • •We do not sell your personal data or design data to third parties

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALCOUSTIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

11. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.

12. Termination

We may suspend or terminate your account for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Design data may be deleted 30 days after termination.

13. Governing Law

These Terms are governed by the laws of the State of New York. Any disputes shall be resolved in the courts of New York County.
